1. Acceptance of Terms

By accessing or using Manay's website, mobile applications, and services (collectively, "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Manay Technologies Pvt Ltd, a company incorporated in India.

2. Description of Services

Manay provides a rental management platform that includes:

• Rent collection and payment processing via UPI
• HRA receipt generation and tax document management
• Digital rental agreement creation and e-signatures
• Tenant verification and police verification support
• Maintenance ticketing and vendor management
• Document storage and management

3. User Accounts and Registration

3.1 Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Be capable of entering into a legally binding contract
• Provide accurate and complete registration information
• Maintain the security of your account credentials

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account password
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

4. User Conduct

You agree not to:

• Use the Services for any illegal or unauthorized purpose
• Provide false or misleading information
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to any part of the Services
• Use the Services to harass, abuse, or harm others
• Upload viruses or malicious code
• Reverse engineer or decompile any part of the Services

5. Payments and Fees

5.1 Fee Structure

• Landlord Services: Free for up to 3 rental units
• Renter Services: ₹99/month for premium features
• Digital Agreements: ₹499 per agreement

5.2 Payment Terms

• All fees are in Indian Rupees (INR)
• Payments are processed via secure UPI or other approved methods
• Subscription fees are billed in advance
• No refunds for partial months

5.3 Rent Collection

Manay facilitates rent collection but:

• Is not a party to rental agreements between landlords and tenants
• Does not guarantee payment from tenants
• May charge convenience fees for certain transactions

6. Intellectual Property

All content, features, and functionality of the Services are owned by Manay Technologies Pvt Ltd and are protected by:

• Copyright laws
• Trademark laws
• Patent laws
• Other intellectual property rights

You are granted a limited, non-exclusive license to use the Services for personal or business rental management purposes.

7. Data and Privacy

Your use of the Services is subject to our Privacy Policy, which is incorporated by reference. By using the Services, you consent to our collection and use of data as described in the Privacy Policy.

8. Third-Party Services

Our Services may integrate with third-party services including:

• UPI payment providers (Google Pay, PhonePe, Paytm)
• WhatsApp Business API
• LegalDesk for e-stamping
• Urban Company for maintenance services

Your use of these services is subject to their respective terms and policies.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF DATA

Manay does not guarantee that:

• The Services will be uninterrupted or error-free
• Defects will be corrected
• The Services are free of viruses or harmful components

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MANAY SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR GOODWILL
• SERVICE INTERRUPTIONS OR SYSTEM FAILURES
• UNAUTHORIZED ACCESS TO YOUR DATA

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Manay, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights

12. Termination

12.1 By You

You may terminate your account at any time by contacting us.

12.2 By Us

We may suspend or terminate your access if you:

• Violate these Terms
• Engage in fraudulent or illegal activities
• Fail to pay applicable fees
• Cause harm to other users or the platform

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka.

Before filing a claim, you agree to attempt to resolve disputes informally by contacting us at legal@manay.in.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or website notice. Continued use after changes constitutes acceptance.

15. General Provisions

• Entire Agreement: These Terms constitute the entire agreement between you and Manay
• Severability: If any provision is invalid, the remaining provisions remain in effect
• Waiver: Our failure to enforce any provision does not constitute a waiver
• Assignment: You may not assign these Terms without our consent
